Update to Our Master Services Agreement (May 2025)

As part of our ongoing efforts to improve your experience and streamline our operations, we’re making some important updates to our MSA. These changes are designed to offer greater clarity, align with industry best practices, and ensure that we can continue providing the reliable, high-quality service you've come to expect.

Please find the addition to section 5 ('Fees') as well as the updated section 6 ('Term'). These new terms will come into effect on 10th June, 2025 and can be found at https://www.ingenuitycloudservices.com/legal/master-services-agreement/.

5. Fees

i. We reserve the right to increase fees annually. While the Consumer Price Index (CPI) published by the Office for National Statistics ( https://www.ons.gov.uk/economy/inflationandpriceindices) will be considered as a reference point, fee increases may be determined at our discretion based on a range of commercial factors.

6. Term. This MSA shall begin on the Effective Date and continue in effect until terminated in accordance with the terms of this MSA (“MSA Term”).

Individual Services shall begin on the Effective Date as set forth in the Order Form and continue for the Service Term set forth in the Order Form (or for twelve (12) months if a Service Term is not included in the Order Form) (“Initial Service Term”). 

Upon expiration of the Initial Service Term or Renewal Service Term (as defined below), the individual Services will continue to be provided by us with automatic renewals of twelve (12) months (each a “Renewal Service Term”), unless notice of non-renewal is delivered by either party to the other no less than thirty (30) calendar days prior to expiration of the then current Initial Service Term or Renewal Service Term. 

Alternatively, upon expiration of the Initial Service Term or Renewal Service Term you can move an individual Service to a monthly arrangement by notifying us no less than thirty (30) calendar days prior to the expiration of the then current Initial Service Term or Renewal Service Term.  If you elect to move to a monthly arrangement, the individual Services will continue with automatic renewals of one (1) month (each a “Monthly Renewal Term”), unless notice of non-renewal is delivered by either party to the other no less than thirty (30) calendar days prior to expiration of the then current Monthly Renewal Term.  The Fees for monthly arrangements will be the annual Fees which applied for the Services, pro-rated into twelve equal monthly payments plus a 30% increase. Monthly arrangements will be billed monthly in advance.

The MSA Term and the Initial Service Term, Renewal Service Term and/or Monthly Renewal Term (as applicable) are collectively referred to in this MSA as “Term”
